Adani Power Gets NCLT Nod to Acquire Vidarbha Industries Power For Rs. 4,000 Cr.
Adani Power Limited‘s resolution plan for Vidarbha Industries Power Ltd. has received approval from Mumbai Bench of the National Company Law Tribunal (NCLT) vide an order dated 18th June 2025. Adani Power will acquire 100% of Vidarbha Industries Power Limited (VIPL) for Rs. 4,000 crore through Corporate Insolvency Resolution Process (CIRP). Adani Power specified cash as the mode of payment for this transaction. This acquisiton will be completed by 17th July 2025.
As per the approved resolution plan, Adani Power can infuse the aforementioned amount into Vidarbha Industries Power as a combination of equity, quasi-equity, or shareholder debt, subject to Adani Power’s discretion. Out of the total amount of Rs. 4,000 crore, Rs. 3,706.09 crore will be extended to secured financial creditors, and Rs. 1 crore will be extended to operational creditors. The remaining Rs. 292.91 crore will be utilised towards covering CIRP costs.
Vidarbha Industries Power Ltd. was incorporated in 2005. The company owns and operates a 600 MW thermal power plant in Maharashtra Industrial Development Corporation (MIDC) Industrial Area at Butibori in Nagpur. After completing the acquisition, Adani Power will have a combined operating power generation capacity of 18,150 MW.
